THE T-MOBILE/ T-SYSTEMS TRANSACTION COMPLETED

The agreement on the sale and purchase of 100% shares of T-Systems Czech Republic a.s. came into effect 2 May 2013.

Prague, 3 May 2013 – The agreement on the sale and purchase of 100% shares of T-Systems Czech Republic a.s. came into effect yesterday, 2 May 2013. The agreement was signed at the end of March between T-Systems International and T-Mobile Czech Republic a.s. The telecommunications operator thus becomes a 100% shareholder of T-Systems Czech Republic a.s.

The purpose of the transaction is to harmonise the activities of the Deutsche Telekom group in the Czech market, in particular to facilitate access to comprehensive ICT services to customers. T-Systems Czech Republic will become a subsidiary of its present sister company T-Mobile Czech Republic; both companies continue to be a part of the Deutsche Telekom group.

The change of shareholder will not have any direct effect on the activities of T-Systems Czech Republic. The company will continue to develop and deliver ICT solutions for corporate customers and the public administration. Full continuity of service deliveries has been ensured. Both companies will jointly develop and deliver intelligent network services, cloud services, integrated collaboration tools and business mobility solutions for their customers.

Both companies will continue to operate separately in the standard parent-subsidiary regime. However, they intend to harmonise their marketing and sales strategies this year already to ensure an efficient one-company approach to the Czech ICT market.
